Terms of Service

1. Definitions

• “Service” — the TrioChart website, features, tools, and all related services.
• “User,” “you,” “your” — any individual or entity that accesses the Service.
• “Content” — charts, data, AI-generated text, analyses, and other information provided through the Service.
• “Subscription” — a paid plan granting access to premium features.
• “AI Features” — AI-powered chart analysis and question-and-answer capabilities.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you have the legal capacity to enter into these Terms.

3. Account Registration

• You agree to provide accurate, current, and complete information and to keep it updated.
• You are responsible for all activities under your account and must notify us immediately of unauthorized use.
• We may disable any account at any time, with or without notice, for any reason.

4. Description of the Service

TrioChart is a multi-timeframe stock chart scanner for US, Hong Kong, and mainland China stocks. The Service includes AI-powered chart analysis. We offer free and paid tiers with different feature limits as displayed on our pricing page.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

5. Subscriptions, Billing, and Cancellation

5.1 Free Trial

Paid tiers may include a free trial. At the end of the trial, you will be automatically charged unless you cancel before the trial ends.

5.2 Billing

Payments are processed by a third-party payment processor. By subscribing, you authorize recurring charges at the rate displayed at the time of purchase until you cancel. All fees are in US dollars unless otherwise indicated.

5.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle at the then-current rate unless cancelled before the renewal date.

5.4 Cancellation

You may cancel at any time through your account settings. Access continues until the end of your current billing period. No refunds or credits for partial periods.

5.5 Refund Policy

All fees are non-refundable except where required by applicable law.

5.6 Price Changes

We may change subscription fees with at least 30 days' notice. Continued use after the change constitutes acceptance of the new pricing.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to gain unauthorized access to any part of the Service.
• Use automated systems (bots, scrapers) to access the Service beyond normal human usage.
• Reproduce, sell, or redistribute any Content without written permission.
• Circumvent security features or usage limitations.
• Share your account credentials with third parties.
• Use the Service to create a competing product.
• Use AI Features to generate content intended to manipulate financial markets.

7. Intellectual Property

The Service and its original content, features, and functionality are the exclusive property of TrioChart. Stock data is sourced from third-party providers and is subject to their terms. AI-generated content is for your personal, non-commercial informational use only.

8. Privacy

Your use of the Service is governed by our Privacy Policy.

9. Financial Disclaimer — NOT Investment Advice

• No Advisory Relationship. TrioChart is not a registered investment advisor, broker-dealer, or financial planner. No fiduciary duty exists between TrioChart and any user.
• No Recommendation. The inclusion of any security on the Service does not constitute a recommendation to buy, sell, or hold. All charts and data are presented without opinion.
• Your Sole Responsibility. Investment decisions are solely yours. Consult a qualified financial professional before making investment decisions. You are solely responsible for any resulting gains or losses.
• Risk of Loss. Investing involves risk, including potential loss of principal. Past performance is not indicative of future results.

10. AI Disclaimer

• No Guarantee of Accuracy. AI outputs may contain errors, inaccuracies, or misleading information. They are not reviewed or endorsed by any human analyst.
• Not Professional Advice. AI-generated content is not a substitute for professional financial, investment, legal, or tax advice.
• User Assumes All Risk. You use AI Features entirely at your own risk. TrioChart is not liable for decisions made based on AI-generated content.

11. Stock Data Disclaimer

• Stock data is sourced from third-party providers and may be delayed by 15 minutes or more.
• We do not guarantee the accuracy, completeness, or timeliness of any data.
• The Service is not intended for real-time trading decisions.
• We are not responsible for errors or delays in third-party data.

12. Disclaimers and Warranty Exclusions

We do not warrant that the Service will be uninterrupted, secure, error-free, or that results will be accurate or reliable.

13. Limitation of Liability

Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim, or US $100, whichever is greater.

14. Indemnification

You agree to defend, indemnify, and hold harmless TrioChart from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or any investment or financial decision made based on information from the Service. This obligation survives termination.

15. Termination

We may terminate or suspend your access immediately, without notice, for any reason. Upon termination, your right to use the Service ceases. You may terminate your account via settings or by contacting support@triochart.com.

16. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions.

17. Dispute Resolution and Binding Arbitration

• Arbitration. All disputes will be resolved by binding individual arbitration under the American Arbitration Association Consumer Arbitration Rules, not in court.
• Jury Trial Waiver. You waive any right to a jury trial.
• Class Action Waiver. All disputes must be brought individually, not as part of any class, collective, or representative proceeding.
• Opt-Out. You may opt out by sending notice to support@triochart.com within 30 days of accepting these Terms.

18. Third-Party Services

The Service integrates with third-party services for payments, AI processing, and stock data. Your use of those services is subject to their respective terms. We are not responsible for third-party availability, accuracy, or practices.

19. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use after changes constitutes acceptance. If you disagree, you must stop using the Service and cancel your subscription.

20. General

• Severability. If any provision is unenforceable, the remaining provisions continue in effect.
• Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and TrioChart.
• Assignment. You may not assign these Terms without our consent. We may assign freely.
• Waiver. Failure to enforce any provision is not a waiver of that provision.
